Village Voices Constitution

1. Name
The name of the association is "Village Voices."

2. Objects
The association's objects are:
To promote community participation in the learning and enjoyment of music, and in particular singing, through the provision of opportunities to join in choral singing and to promote, develop and maintain public appreciation and enjoyment of music in all its aspects by the presentation of public concerts and recitals and such other ways as the choir, through its executive committee, shall determine from time to time.

3. Membership
3.1 The Association shall be non-political and non-sectarian. Membership shall be irrespective of political allegiance, nationality, religious belief, ethnic origin, gender or sexual orientation.
3.2 Membership shall be open to all adults who are interested in promoting the objects of the association and upon payment of any subscription that the Executive Committee may deem appropriate.
3.3 Membership of the association shall not be dependant upon auditions and musical ability, but upon the desire to obtain pleasure from singing and to give pleasure to other people by their singing.
3.4 Junior members, under the age of 18, shall be allowed to attend general meetings, but are not allowed voting rights.

4. Executive Committee
4.1 The day to day affairs of the Association shall be managed by an executive committee which shall consist of not less than 4 members nor more than 7 being:
(a) The honorary officers specified in clause 6.
(b) not less than 1 and not more than 4 members elected at the annual general meeting who shall hold office from the conclusion of that meeting.
4.2 The Executive Committee may in addition appoint not more than 2 co-opted members.

5. Meetings and proceedings of the Executive Committee
5.1 The Executive Committee shall meet not less than 2 times a year.
5.2 At least 14 days' notice shall be given by the Secretary to the Committee members of the matters to be discussed.
5.3 There shall be a quorum when at least 3 members of the Executive Committee, are present at a meeting.
5.4 The Executive Committee shall keep minutes of the proceedings at meetings of the Executive Committee.

6. Officers
6.1 The Officers of the Association shall include a Chairman, Secretary and Treasurer and the Director of Music.
6.2 All Officers shall be elected at the Annual General Meeting of the Association, from and by the members of the Association.
6.3 All Officers shall be elected for a period of one year but may be re-elected to the same office or another office the following year.

7. Accounts
7.1 The Treasurer shall prepare and keep up to date accounts and will provide financial reports to the Association at regular intervals.
7.2 The financial year shall run from April to March.
7.3 Accounts shall be checked annually by an independent and suitable person and presented by the treasurer at the AGM.

8. Finances
8.1 All funds raised shall be used to further the objects of the Association and shall be kept in a bank account, which shall be in the name of Village Voices.
8.2 There shall be three signatures to the bank account and all cheques must be signed by no less than two of the signatories.

9. Annual General Meeting
9.1 An annual general meeting shall be held every year in July, or as soon as possible thereafter.
9.2 The business shall include the election of officers and committee; presentation and approval of the annual accounts; agreeing any amendments to this constitution; appointment of auditor; and such other business as the association may decide.

10. Special General Meetings
The Executive Committee may call a special general meeting of the Association at any time. If at least ten members request such a meeting in writing stating the business to be considered the secretary shall call such a meeting. At least 21 days' notice must be given. The notice must state the business to be discussed.

11. Amendments and Dissolution
11.1 Any decision to amend the constitution or to dissolve the association shall be taken at a general meeting where at least ten days' clear notice has been given, such notice to specify the proposals which are to be discussed.
11.2 Such decisions must be passed by two thirds of those persons present and entitled to vote at a general meeting.
11.3 If a general meeting decides to dissolve the Association the Executive Committee shall have the power to dispose of any assets held by the Association. Any assets which remain after all liabilities have been made shall be used for such charitable purposes as the Executive Committee may decide.
